Terms of Service
Last updated: 07/10/2026
1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of the NPhones service ("Service"), operated by Vayosoft Ltd. ("Company", "we", "us"). By accessing or using the Service, you agree to be legally bound by these Terms. If you do not agree, you must not use the Service.
2. Nature of the Service
NPhones is a cloud-based virtual mobile environment delivered as software-as-a-service (SaaS) — a secure remote workspace — with optional voice calls on a work phone number assigned by the user's organization. The Service provides access to one or more remote virtual mobile devices ("Virtual Phones") hosted and operated in cloud infrastructure. The Company is not a telecommunications carrier: calls to and from other phone networks are connected by third-party telecommunications providers.
3. Eligibility and Minimum Age
The Service is intended for users aged 18 or older. It is not directed to children, and by using the Service you confirm that you are at least 18 years of age.
4. Service Functionality
The Service enables users to access and control Virtual Phones remotely and to install and use applications within them. Where the organization has assigned a work number, the app also lets the user place and receive voice calls on that number, to and from other phone numbers. Actions in the workspace are executed on the Virtual Phone; the user's physical device acts as an access interface and, for calls, as the handset.
5. Account Structure and Virtual Devices
- Your account may include one or more Virtual Phones, as assigned by your organization; one of them is active at a time.
- A Virtual Phone may or may not be associated with a work phone number.
Each Virtual Phone operates as an isolated environment.
6. Organizational Use
The Service is intended for organizational/enterprise use. Organizations provision user accounts, assign Virtual Phones and work numbers, enable or disable features, and define internal policies (including privacy policies and policies on the use of work numbers). The Company is not responsible for organizational policies or their enforcement.
7. Account Registration and Security
Access to the Service requires an account provisioned by your organization; the app does not offer self-registration. You sign in with your own mobile phone number and a one-time verification code, and by using the Service you accept these Terms. You are responsible for maintaining the confidentiality of your credentials and for all activity conducted under your account, including calls placed on the work numbers assigned to you.
8. Work Phone Numbers
A work phone number is assigned to you by your organization for work use. It is not your property and is not transferable or portable to you. The organization or the Company may change or withdraw a work number at any time, including when your access to the Service ends. Your own mobile number, used to sign in, is not used for calls through the Service.
9. Acceptable Use
You agree not to:
- Unwanted calling — place bulk, automated, or unsolicited calls, or calls for marketing or promotional purposes; harass anyone by phone.
- Number misuse — spoof or misrepresent caller identity; resell, lease, or farm numbers; use a work number to create or verify accounts with third-party services at scale.
- Unlawful interception — record, monitor, or intercept calls except in compliance with all applicable laws, including laws that require the consent of the other party.
- Automation — use bots or automated systems to operate the Service or place calls at scale.
- Financial and restricted activities — use the Service for payments or financial transactions, or use applications involving financial operations.
- General misuse — violate any laws or regulations; abuse or overload infrastructure; circumvent restrictions or safeguards.
The Acceptable Use Policy forms part of these Terms.
10. Application Compatibility and Restrictions
The Service supports general-purpose applications, but the Company does not guarantee compatibility. Unsupported or restricted applications include banking and financial applications, payment systems, DRM-protected applications (such as Netflix), and security-sensitive applications. Such applications may not function or may be restricted.
11. Fair Use and Technical Limits
The Service enforces limits on resource usage and on call volume and frequency. These limits are subject to change at any time.
12. Telecommunications and Third-Party Dependencies
Calls depend on third-party telecommunications providers, on your device's internet connection, and on the networks of the parties you call. The Company does not guarantee call completion, call quality, caller-number display, or the availability and routing of any number or destination. Calls to some destinations or number types may be unavailable.
13. User Responsibility
You are fully responsible for the applications you install; the content you create, store, or process; the calls you place; your compliance with applicable laws, including communications and privacy laws; and your compliance with third-party application terms.
14. Privacy and Data Processing
Personal data is processed in accordance with the NPhones Privacy Policy, which forms an integral part of these Terms. Data may be controlled by the organization. The Company may process data for service operation, including connecting calls, security and fraud prevention, and support and maintenance. The Company does not record calls.
15. Service Availability
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. No guarantees are provided regarding uptime, reliability, or performance.
16. Suspension and Termination
The Company may suspend access, or disable calling on a work number, for violations of these Terms or where a telecommunications provider requires it, and may terminate accounts for abuse or illegal activity.
17. Anti-Fraud and Abuse Prevention
The Service must not be used for mass account creation, number or verification-code farming, identity manipulation, or fraud and impersonation. The Company may monitor usage, apply risk scoring, and restrict or terminate access. Detection methods are confidential.
18. Audit, Monitoring, and Logging
The Company may collect usage data, maintain activity logs, and analyze system interactions for security, abuse prevention, and system integrity. The Company does not monitor the content of calls and does not keep call records on its servers. Logs may be retained and disclosed where required by law.
19. Export Control and Sanctions
You must comply with all applicable export and sanctions laws. You confirm that you are not located in a sanctioned jurisdiction and are not listed on a restricted-party list. The Company may restrict access accordingly.
20. No Emergency Calling; No Reliance for Critical Use
The Service does not support calls to emergency services. Do not use the app to call police, fire, ambulance, or any other emergency number; use your device's own mobile service or another phone. The Service must not be used for critical communications, emergency services, or time-sensitive operations. Any reliance on the Service is at your own risk.
21. Limitation of Liability
To the maximum extent permitted by law, the Company is not liable for indirect or consequential damages, loss of data or profits, failed, dropped, or misrouted calls, or third-party failures, including failures of telecommunications providers.
22. Security Disclaimer
The Company does not guarantee absolute security. You are responsible for securing your account.
23. Changes to the Service and Terms
The Company may modify or discontinue features at any time, and may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
24. Governing Law
These Terms are governed by neutral principles of international contract law, without reference to conflict-of-law provisions.
